Disputes are a part of business life.
It is critical to have a clear strategy and exit plan for disputes between business owners.
People labour under a misapprehension that the voices of minority shareholders will not be heard in business separations and that they need to “take what they can get”, which is usually below fair value. That is not the case. Minority shareholders often have more options and leverage than first thought.
We will cover relevant legal and commercial options for outgoing shareholders as well as remaining shareholders and the company Board.
We will also explore recurring legal and commercial issues and identify measures that may avoid or mitigate the severity of these disputes for your clients and their business.
This presentation will also outline practical options to be considered by any trusted advisor (even in the face of a dispute or deadlock) and point out the cardinal Do's and Dont's in these disputes. You will receive valuable knowledge and useful tips to help you and your clients navigate through these difficult and stressful situations to thrive on the other side.

Michael is a Principal of Results Legal, a Brisbane based national firm specialising in commercial dispute resolution. With over 18 years’ experience, Michael leads the Commercial Litigation and Insolvency team, who provide specialist advice to clients on a range of contentious and complex matters for a variety of corporate, business and professional service clients along with banks and financial service providers. Michael and his team regularly advise shareholders and company boards regarding shareholder and business separation disputes. Michael’s expertise also covers trust and contract disputes, debt recovery matters and general commercial documentation such as shareholder and partnership agreements. Michael regularly provides training to CA ANZ members and works with members on engagements with mutual clients.

Julius Haralampou is an ERP and eCommerce management enthusiast with over 12-years’ experience in system automation, data analytics and technical sales.
