It is very common for a business structure that was once a good fit for a client to no longer be so. The client may out-grow the structure, the structure may not assist a sale or allow for equity participants.  It is important that practitioners are aware of the techniques that can be used to restructure a business tax efficiently.  In some cases, the restructure may involve multiple rollovers to achieve the required structure.  

 

The session will consider the following issues:

  • Using multiple rollovers and the issues that may arise
  • Scrip for Scrip rollover (high level)
  • Interaction of various rollovers and when an adverse outcome can arise

 

On successful completion of this topic, participants should be able to:
  • Illustrate how scrip for scrip rollover operates. What are the conditions for the rollover and the consequences for all involved entities?
  • Explain when might multiple CGT rollovers be helpful in restructuring a client or preparing them for a sale?
  • Explain what the potential implications of multiple rollovers including the ATO’s views as well as restrictions on the availability to the CGT discount
